Regulation regarding Corporate Governance Report

SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Regulation 27 (2)

  • A listed company must submit a quarterly compliance corporate governance report on its compliance with Regulation 27(2) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”). Corporate governance report shall be submitted to the recognised Stock Exchange(s) in the format designated by the Board from time to time.
  • Penalty for non –submission of corporate governance report 27(2) is Rs 2000 per day.

The format for compliance report on Corporate Governance by listed entities has been specified vide Circular no. SEBI/HO/CFD/CMD-2/P/CIR/2021/567 dated May 31, 2021  as below:

Format of report on Corporate Governance to be submitted by a listed entity on quarterly basis.

  1. Name of listed Entity
  2. Quarter ending

Note:  Information at Table I and II above need to be necessarily given in 1st quarter of each financial year. However, if there is no change
of information in subsequent quarter(s) of that financial year, this information may not be given by Listed entity and instead a
statement “same as previous quarter” may be given
