Companies proposing to issue Non-Convertible Debt Securities (NCDs) are required to comply with the disclosure requirements outlined in Schedule I of the SEBI NCS Regulations, 2021.

Key points:

  1. Issuers must include all mandatory disclosures directly within the offer document. References to separate documents, such as side letters for covenants, are not permitted.
  2. An updated checklist for in-principle and listing approval for NCDs, Non-Convertible Redeemable Preference Shares (NCRCPS), Perpetual Debt Instruments (PDIs), Perpetual Non-Cumulative Preference Shares (PNCPS), and Market-Linked Debentures (MLDs) issued on a private placement basis is enclosed in the notification.
