SEBI (Investor Charter) (Amendment) Regulations, 2025

Effective Date: Upon publication in the Official Gazette i.e, February 10, 2025 

SEBI has framed Investor Charter to promote transparency, enhance awareness, trust and confidence among the investors. The Investor Charter, inter alia, includes the vision and mission statement, rights and responsibilities of investors, investor grievance redressal mechanism and Do’s and Don’ts for investing in securities market. The Investor Charter also gives a broader perspective of various rights and responsibilities of investors. 

SEBI has introduced amendments to various regulations, requiring all registered market intermediaries such as stockbrokers, mutual funds, portfolio managers, investment advisers, and depositories to comply with the Investor Charter specified by SEBI.  

Each intermediary must now incorporate the Investor Charter into its operations, following SEBI’s specified guidelines. This move standardizes investor rights and obligations across multiple market participants, ensuring greater accountability and consistency in service delivery. 

Who is affected?  

Stockbrokers, merchant bankers, share transfer agents, debenture trustees, mutual funds, portfolio managers, investment advisers, alternative investment funds, depositories, and more (refer below mentioned act/regulations). 

What changes?  

Compliance with the Investor Charter becomes mandatory for all intermediaries, ensuring uniform investor protection practices. 

Ongoing updates: SEBI may modify the Investor Charter from time to time, requiring continuous adherence by intermediaries.

10.SEBI (Investment Advisers) Regulations, 2013
11. SEBI (Research Analysts) Regulations, 2014
12. SEBI (Real Estate Investment Trusts), Regulations, 2014 
13. SEBI (Infrastructure Investment Trusts) Regulations, 2014 
14. SEBI (Depositories and Participants) Regulations, 2018 
15. SEBI (Foreign Portfolio Investors) Regulations, 2019 
16. SEBI (Portfolio Managers) Regulations, 2020 
17. SEBI (Vault Managers) Regulations, 2021.
