Debenture Trustees are governed under SEBI (Debenture Trustees) Regulations, 1993. Over the years, SEBI issued several circulars specifying procedures, disclosures, and obligations. To streamline compliance and provide a single reference point, SEBI has now consolidated these into a Master Circular.
This Master Circular compiles all existing circulars on Debenture Trustees as of August 13, 2025, and supersedes earlier ones (listed in Annex-1). Actions already taken under the rescinded circulars remain valid. Debenture Trustees are required to ensure systems, infrastructure, and board-level responsibility for compliance with the provisions of this Master Circular
