NFRA-2 Annual Return Filing for 2025

November 30, 2025 (due date of filing for FY 2024-25)

NFRA-2 is the annual return prescribed for auditors of a specified class of companies and bodies corporate. It ensures transparency in audit practices by requiring auditors to disclose information about clients, audit reports, fees, affiliations, disciplinary matters, and quality control policies.

For the filing due on November 30, 2025, the reporting period will cover April 1, 2024 to March 31, 2025. The return must include details of audit reports signed during this period, which largely pertain to audits of financial statements for FY 2023-24. Filing is mandatory for auditors of listed companies, certain large unlisted public companies (meeting thresholds of capital, turnover, or borrowings), companies in regulated sectors such as banking, insurance, and electricity, as well as foreign subsidiaries and associates meeting prescribed thresholds. Non-compliance may attract regulatory scrutiny under NFRA Rules.
