Establishment of Regional Directors and Registrars under Companies Act, 2013 and LLP Act, 2008

Notification No. S.O. 4847(E), S.O. 4848(E), S.O. 4849(E), S.O. 4851(E) dated October 28, 2025

Applicable Act/Rule: Companies Act, 2013 & Limited Liability Partnership Act, 2008

The Ministry of Corporate Affairs has undertaken a major administrative restructuring to enhance regulatory efficiency and regional coverage for both companies and LLPs across India.

  1. Under the Companies Act, 2013 – Establishment of Regional Directors (S.O. 4847(E))
    The Central Government established ten Regional Directorates, headquartered at New Delhi, Chandigarh, Ahmedabad, Mumbai, Navi Mumbai, Chennai, Bangalore, Kolkata, Guwahati, and Hyderabad, with defined jurisdiction across states and union territories.
  2. Under the Companies Act, 2013 – Establishment of Registrars of Companies (S.O. 4848(E))
    New ROCs have been constituted for various regions including two for Delhi (NCT-I and II), two for Uttar Pradesh (Kanpur and Noida), three in Maharashtra (Mumbai-I, Mumbai-II, Nagpur), and two for Kolkata, in addition to one for Haryana.
  3. Under the LLP Act, 2008 – Establishment of Registrars of Companies (S.O. 4849(E))
    The Central Government established ROCs to register and oversee LLPs across the same regional divisions as above, ensuring uniformity between corporate and LLP governance. Each ROC’s territorial jurisdiction mirrors the corresponding Companies Act jurisdiction.
  4. Under the LLP Act, 2008 – Establishment of Regional Directors (S.O. 4851(E))
    Parallel to the Companies Act framework, ten Regional Directors have been notified under the LLP Act with identical regional jurisdictions to streamline oversight, adjudication, and compliance of LLPs nationwide.
