Relationship of Partners and LLP Agreement Related Compliances under the LLP Act, 2008

Background

The Limited Liability Partnership Act, 2008 (LLP Act) defines how partners within an LLP interact with each other and the firm itself. Section 23 of the Act specifically deals with the relationship of partners, outlining their rights, duties, and obligations through the LLP Agreement when read with Limited Liability Partnership (Third Amendment) Rules, 2023. This agreement forms the foundation of how the LLP operates and how partners share responsibilities, profits, and liabilities.

 

Compliances Related to Relationship of Partners and LLP Agreement

LLP Agreement

  • Under Section 23(1), the mutual rights and duties of partners are governed by the LLP Agreement. This legal document determines the internal governance structure and operational procedures of the LLP. It ensures clarity in areas such as profit sharing, decision-making, and partner contributions.
  • In the absence of an agreement, the First Schedule of the LLP Act automatically applies, setting out standard provisions for managing the LLP.

Filing Requirement – LLP Form 3

  • As per Rule 21(1) of the LLP Rules, 2009, every LLP must file its LLP Agreement with the Registrar in Form 3 within 30 days of incorporation.
  • If there is any subsequent change in the LLP Agreement—such as admission or resignation of partners, changes in profit-sharing ratios, or alterations in capital contribution—the same must also be filed in Form 3 within 30 days of such change.

Declarations of Beneficial Interest in Contribution

  • In 2023, the LLP (Third Amendment) Rules introduced new compliance requirements related to beneficial ownership of contributions in an LLP. These ensure transparency about who truly holds ownership and control within the LLP structure.

Form 4B – Declaration by Registered Partner Not Holding Beneficial Interest

  • If a registered partner’s name appears in the LLP’s register but the beneficial interest in the contribution belongs to another person, such partner must file Form 4B within 30 days of being registered. This form identifies the actual beneficial owner and provides their details to the LLP.
  • Similarly, if there is any change in such beneficial ownership, the registered partner must again file Form 4B within 30 days of such change.

Form 4C – Declaration by the Beneficial Owner Not Registered as a Partner

  • When a person holds or acquires a beneficial interest in an LLP’s contribution but is not registered as a partner, that person must disclose the interest in Form 4C within 30 days of acquiring it. The declaration must specify the nature of interest and details of the registered partner in whose name the contribution stands.
  • If any change occurs in this beneficial interest, the beneficial owner must again declare such change in Form 4C within 30 days.

Form 4D – Return to Registrar by LLP

  • Once the LLP receives declarations in Form 4B or 4C, it must record the same in its register of partners and file a return in Form 4D to the Registrar within 30 days of receiving the declaration. This ensures that the Registrar’s database reflects accurate ownership information.

Pre-Incorporation and Ratification of Agreements

  • Section 23(3) allows for agreements made before incorporation to bind the LLP, provided all partners ratify it after incorporation. This enables LLPs to plan their structure, business model, and partner relationships even before formal registration.

Importance of Timely Filing and Transparency

  • Filing the LLP Agreement and subsequent declarations on beneficial interest helps maintain legal compliance, ownership transparency, and governance integrity. It also protects the interests of all stakeholders and ensures that the LLP’s structure remains compliant with the law.

Penalty & Punishment

  • General penalty: For contravention of any provisions of the Act/ Rule where no penalty has been provided, the limited liability partnership or any partner or any designated partner or any other person, who is in the default, shall be liable to a penalty of five thousand rupees and in case of a continuing contravention with a further penalty of one hundred rupees for each day after the first during which such contravention continues, subject to a maximum of one lakh rupees
  • Penalty for late filing of forms have been specified in LLP Amendment Rules 2022
